Terms of Service
Last updated: September 25, 2026
1. Acceptance of Terms
In these Terms, 'Dozo' means the service operated under the Dozo trade name. By creating an account, checking the acceptance box, or accessing or using the Dozo point-of-sale applications, administrative dashboards, or related services (collectively, the 'Service'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, do not create an account or use the Service.
2. Description of Service
Dozo provides a suite of software tools designed for restaurant management, including but not limited to point-of-sale operations, order management, and analytics. We may modify or suspend features as the Service evolves. Any planned permanent discontinuation of the Service is governed by Section 7.
3. User Accounts & Security
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
4. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws or regulations.
- Infringe upon the intellectual property or privacy rights of others.
- Transmit any viruses, malware, or other malicious code.
- Attempt to gain unauthorized access to our systems or disrupt the integrity of the Service.
5. Limitation of Liability
To the fullest extent permitted by law, Dozo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.
6. On-site Support
Remote support may be provided according to the customer's subscription, but on-site support is not included and is never free unless Dozo expressly agrees otherwise in writing. The following rates apply in Mexico:
- Standard on-site visit: MXN $2,500 plus VAT. This minimum charge includes local travel within 25 km of the nearest available Dozo support base and up to two hours of on-site work.
- Additional time: MXN $900 plus VAT per hour after the first two hours, billed in 30-minute increments.
- Travel outside the 25 km local area, tolls, transportation, lodging, and reasonable travel expenses are charged separately. Dozo will provide an estimate and obtain the customer's approval before dispatch.
- Same-day urgent service, service outside Monday through Friday from 9:00 a.m. to 6:00 p.m. local time, and service on public holidays are subject to a 50% surcharge. The minimum visit charge applies once the technician has been dispatched, even if the issue is resolved in less than two hours.
7. Planned Service Discontinuation and Data Export
If Dozo decides to permanently discontinue the Service, Dozo will provide at least 60 calendar days' prior notice through the email associated with the account and/or the administrative dashboard. During that notice period, the customer may request an export of available account and operational data in a commercially reasonable, commonly used format where technically feasible. The customer is responsible for submitting the request before the deadline. After the 60-day period, Dozo may terminate access and delete or anonymize data in accordance with the Privacy Notice, backup cycles, applicable law, and legal, tax, or accounting retention obligations. This planned-discontinuation process does not limit any data access or privacy right provided by applicable law.
8. Purchased Hardware
Hardware purchased through Dozo and paid in full remains the customer's property after the Service ends and does not need to be returned. No later than the shutdown effective date, Dozo will remove or disable any Dozo-controlled software, activation, or device-management lock that would prevent general-purpose use, where technically possible. This commitment does not apply to manufacturer, carrier, financing, operating-system, or third-party locks that Dozo does not control. The customer is responsible for obtaining any third-party software, licenses, configuration, or support needed for continued use.
9. Subscriptions, Charges, Taxes, and Cancellation
Paid plans are billed in advance at the price and frequency shown at checkout or in the applicable order. Subscriptions renew automatically until canceled. The customer authorizes Dozo and its payment provider to charge applicable fees, taxes, approved usage, additional locations, hardware, and separately accepted services. The customer must maintain accurate billing information. Cancellation stops future renewals and normally takes effect at the end of the paid period. Fees already paid are non-refundable except where required by law, expressly stated in writing, or caused by a verified Dozo billing error. Dozo may change future pricing with advance notice; a material price change applies no earlier than the next renewal after the notice period.
10. License and Intellectual Property
Subject to payment and compliance with these Terms, Dozo grants the customer a limited, non-exclusive, non-transferable, revocable right to use the Service for its internal restaurant operations during the subscription. Dozo and its licensors retain all rights in the software, designs, documentation, trademarks, updates, and derived improvements. The customer may not copy, resell, sublicense, reverse engineer, bypass security or usage limits, scrape, interfere with, or use the Service to build a competing product except where a restriction is prohibited by law. Feedback may be used by Dozo without restriction or payment and without identifying the customer publicly.
11. Customer Data and Responsibilities
The customer retains its rights in data it lawfully submits. The customer grants Dozo and its service providers the limited rights needed to host, process, transmit, back up, secure, and display that data to provide and improve the Service. The customer represents that it has all necessary rights, notices, consents, and lawful instructions for submitted data, including employee and diner data. The customer is responsible for account administrators, staff access, menu and tax configuration, transaction review, legal notices, devices, networks, credentials, exports, and independent records required by law. Dozo is not the customer's accountant, tax adviser, employer, merchant acquirer, or legal adviser.
12. Suspension and Termination
Dozo may suspend or restrict access when reasonably necessary for nonpayment, suspected fraud, unlawful or abusive use, security threats, harm to the Service or others, legal requirements, excessive technical load, or a material breach. When circumstances permit, Dozo will provide notice and a reasonable opportunity to cure. Immediate action may be taken for urgent security, legal, fraud, or safety risks. Either party may terminate as provided by the subscription or applicable law. Provisions that by nature should survive—including payment, ownership, confidentiality, disclaimers, liability, indemnity, and dispute terms—remain effective after termination.
13. Third-party Services and Connectivity
The Service may depend on internet access, app stores, operating systems, payment processors, banks, delivery services, device manufacturers, cloud providers, and other third parties. Their services and terms are outside Dozo's control. Dozo is not responsible for third-party outages, changes, fees, decisions, settlement delays, chargebacks, device defects, or data practices, but this does not limit responsibility that applicable law does not allow Dozo to exclude.
14. Service Availability and Disclaimer
Dozo will use commercially reasonable efforts to operate the Service, but maintenance, updates, internet failures, device problems, third-party failures, emergencies, and events beyond reasonable control may cause errors, delays, or interruptions. Except for express written commitments and rights that cannot legally be waived, the Service is provided on an 'as available' basis without implied warranties of uninterrupted operation, merchantability, fitness for a particular purpose, or non-infringement. The customer must verify critical prices, taxes, orders, payments, and reports and maintain reasonable business-continuity procedures.
15. Limitation of Liability
To the fullest extent permitted by law, neither Dozo nor its personnel will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunities, or corrupted data. To the fullest extent permitted by law, Dozo's aggregate liability arising from the Service will not exceed the fees paid to Dozo for the affected Service during the twelve months immediately before the event giving rise to the claim. These limits do not apply to liability that cannot lawfully be limited, and they do not waive mandatory consumer remedies.
16. Indemnity
To the extent permitted by law, a business customer will defend and indemnify Dozo and its personnel against third-party claims, penalties, damages, and reasonable costs arising from the customer's submitted data, products, menus, tax configuration, employment practices, infringement, unlawful conduct, breach of these Terms, or use of the Service contrary to documented instructions. Dozo will provide reasonable notice and cooperation, and the customer may not settle a claim in a manner that admits fault or imposes obligations on Dozo without written consent.
17. Changes to These Terms
Dozo may update these Terms for legal, security, operational, or service changes. Dozo will give reasonable advance notice of material changes through the account email, administrative dashboard, or another permitted method. Changes will apply prospectively on the stated effective date. Where law requires renewed consent, Dozo will request it. If a customer does not accept a material change, its remedy is to stop using and cancel the Service before the change takes effect, subject to mandatory rights and existing payment obligations.
18. Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, fire, epidemic, labor disruption, war, civil unrest, government action, power or telecommunications failure, cyberattack, or failure of critical suppliers, provided the affected party uses reasonable efforts to mitigate the impact. Payment obligations for services already provided are not excused.
19. Governing Law and Disputes
These Terms are governed by the laws of Mexico. The parties will first attempt in good faith to resolve a dispute through written notice and thirty days of negotiation. For business customers, disputes not resolved informally will be submitted to the competent courts of Mexico City, and each party waives any other venue that may otherwise apply. Consumers retain any venue, PROFECO process, and protection that cannot legally be waived.
20. General Terms and Contact
These Terms, the Privacy Notice, the selected order or plan, and any signed addendum form the agreement for the Service. If a signed addendum expressly conflicts with these Terms, the addendum controls for that subject. Invalid provisions will be limited to the minimum necessary and the remainder will continue in effect. Failure to enforce a provision is not a waiver. The customer may not assign the agreement without Dozo's written consent; Dozo may assign it in connection with a reorganization, financing, merger, or sale, subject to applicable law. Notices to Dozo may be sent to [email protected].
